RECITALS:

A. Partner has conceived a software application concept: SaaS Support Agent.

B. KITech possesses proprietary AI models, cloud infrastructures, and developer workflows to build, scale, and launch said software application.

C. The Parties intend to collaborate on app creation under the financial structure designated below.

OPERATIVE PROVISIONS:

1. Financial Arrangement: The Partner selects the following package details: Offer B (Hybrid Milestone). Terms of payment, retainer fees, or royalty models are explicitly verified as: USD $5,000 Milestone payment + 5% recurring gross revenue royalty share.

2. Intellectual Property & Development: KITech agrees to build a production-grade software system matching the specifications outlined in the Submission. Intellectual Property will reside in a joint-holding vehicle, or will be licensed exclusively to Partner, subject to consistent royalty payouts.

3. Support & Maintenance: KITech guarantees 12 months of high-performance support, SLA monitoring, and periodic model fine-tuning.
